“Proper test for determining whether a question of law is substantial would be whether it is of general public importance or whether it directly and substantially affects the rights of the parties. Thus, it has been held by the Supreme Court that a construction of document of title or of document which is the foundation of rights of the parties necessarily raises a question of law.”
